1. Acceptance of these Terms
These Terms of Service ("Terms") govern your access to and use of the Company System operated by Kolamba Ltd. ("Company", "Kolamba", "we", "our" or "us").
By accessing or using any part of the Company System, you acknowledge that you have read, understood and agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, you may not use the Company System.
2. Definitions
For purposes of these Terms:
"Company Platform" means Kolamba's online platform through which Talent information, bookings and related services are managed.
"Company Portal" means the Kolamba website through which Talents, Hosts and other users access the Platform.
"Talent Dashboard" means any dashboard, interface or application made available by Company to Talents.
"Company System" means the Company Platform, Company Portal, Talent Dashboard and all related software, communication tools and services operated by Company.
"Talent" means any artist, performer, speaker, educator, creator or other cultural professional using the Platform.
"Host" means any community, synagogue, organization, institution or other customer seeking to engage a Talent.
"User" means any person accessing or using the Company System.
3. About the Company System
The Company System is designed to connect Talents and Hosts and facilitate discovery, communication, booking coordination, profile management and related services.
Unless expressly agreed otherwise in writing, Company is not:
- the organizer of any event;
- the employer of any Talent;
- the producer of any performance; or
- a party to agreements entered into between Talents and Hosts.
Company acts solely as the operator of the Company System and provider of related services.
4. Eligibility
You may use the Company System only if:
- you are legally able to enter into binding agreements;
- the information you provide is accurate and complete;
- your use complies with applicable law.
If you register on behalf of an organization, you represent that you are authorized to bind that organization.
5. User Accounts
Certain services require registration.
Users agree to:
- provide accurate information;
- keep account credentials confidential;
- promptly update account information;
- notify Company of unauthorized access.
Users remain responsible for all activity conducted through their accounts.
6. Additional Agreements
These Terms apply to all Users.
Certain Users may also be subject to additional agreements.
Without limitation:
- Talents are subject to the applicable Talent Order Form and Talent Terms and Conditions.
- Hosts may become subject to additional booking or commercial agreements where applicable.
If any conflict exists between these Terms and a separate written agreement between a User and Company, the separate agreement shall prevail regarding its specific subject matter.
7. User Content
Users are solely responsible for all content submitted through the Company System, including biographies, photographs, videos, pricing, schedules, descriptions and other information.
Users represent that:
- they own or control all necessary rights;
- the content is accurate;
- the content complies with applicable law;
- the content does not infringe third-party rights.
Company may remove content that reasonably appears to violate these Terms or applicable law.
8. License to User Content
By uploading content to the Company System, Users grant Company a non-exclusive, worldwide, royalty-free license to host, reproduce, display, publish, distribute and use such content solely for operating, maintaining, improving, promoting and providing the Company System and facilitating bookings.
Ownership of User Content remains with the User.
9. Intellectual Property
Except for User Content, all intellectual property rights in the Company System, including software, technology, databases, trademarks, logos, graphics, designs and text, are owned by Company or its licensors.
Nothing in these Terms transfers ownership of any Company intellectual property to Users.
10. Acceptable Use
Users shall not:
- submit false or misleading information;
- infringe intellectual property rights;
- upload unlawful, defamatory or harmful content;
- interfere with the operation or security of the Company System;
- attempt unauthorized access;
- use bots, scraping tools or automated systems without permission;
- use the Company System for unlawful purposes.
Company may suspend or terminate accounts that violate these Terms.
11. Privacy
Use of the Company System is also governed by the Company's Privacy Policy, which forms an integral part of these Terms.
12. Third-Party Services
The Company System may contain links to third-party websites, payment providers or other external services.
Company is not responsible for such third-party services or their policies.
13. Disclaimer
The Company System is provided on an "AS IS" and "AS AVAILABLE" basis.
Company does not warrant that:
- the Company System will always be available;
- bookings will occur;
- performances will meet expectations;
- Users will fulfill their obligations;
- communications between Users will be successful.
14. Limitation of Liability
To the fullest extent permitted by law, Company shall not be liable for indirect, incidental, consequential or special damages arising from use of the Company System.
Company is not responsible for:
- the conduct of Talents or Hosts;
- cancellations;
- performance quality;
- travel arrangements;
- visas;
- permits;
- taxes;
- payments between Users;
- disputes arising from bookings.
Any booking agreement is solely between the relevant Talent and Host unless expressly agreed otherwise by Company.
15. Suspension and Termination
Company may suspend, restrict or terminate access to the Company System if it reasonably believes that a User:
- violates these Terms;
- violates applicable law;
- provides false information;
- infringes third-party rights;
- exposes Company or other Users to legal, security or reputational risks.
Users may discontinue use of the Company System at any time.
16. Modifications
Company may modify these Terms from time to time.
The updated version will be published on the Company Portal together with the revised "Last Updated" date.
Continued use of the Company System constitutes acceptance of the updated Terms.
17. Governing Law
These Terms shall be governed by the laws of the State of Israel.
The competent courts located in Tel Aviv, Israel shall have exclusive jurisdiction over any dispute arising from these Terms or the use of the Company System.
